• Comply with environmental, safety, and structural integrity standards, etc on the subject, including adherence to building codes, construction laws, and industry regulations.
2. Ethical Business Practices
SPPL expects all clients and partners to conduct business with the highest level of ethical integrity.
• Engage in transparent and honest business practices. Avoid any form of bribery, corruption, or illegal inducements.
• Disclose any potential conflicts of interest before entering into agreements with SPPL.
• Any falsification of documents or misrepresentation of information will lead to immediate termination of the partnership.
3. Quality Standards and Timely Deliveries
Clients and partners must ensure that all products, services, and deliverables meet SPPL’s stringent quality requirements.
• Deliver services and products that meet or exceed the agreed-upon specifications, standards, and timelines.
• Follow industry best practices for Structural Health Monitoring (SHM) and related civil infrastructure services.
• Any deviation from the agreed quality or timeline must be communicated promptly, and remedial action should be taken to minimise project impact.
4. Confidentiality and Data Security
Confidentiality and data security are of utmost importance to SPPL. All clients and partners must protect sensitive information related to SPPL’s operations, products, or projects.
• Any proprietary information shared by SPPL must be kept confidential and used only for the intended purpose.
• Ensure secure handling of any data, files, and materials provided by SPPL, especially in research, monitoring projects, or sensitive infrastructure assessments.
• In case of a data breach, partners must notify SPPL immediately and cooperate fully in resolving the issue.
5. Health, Safety, and Environmental Responsibility
All clients and partners are required to maintain strict health, safety, and environmental standards in line with SPPL’s commitment to sustainability and safe operations.
• Comply with all applicable safety regulations in project sites and work environments. Provide safety training and protective equipment to employees where required.
• Adhere to environmental guidelines, minimising waste, pollution, and negative impacts on the environment.
• Ensure that all materials, equipment, and services used in collaboration with SPPL are environmentally friendly and meet relevant environmental standards.
6. Communication and Reporting
Clear and consistent communication is essential for the success of any partnership with SPPL.
• Provide regular updates on project progress, issues, and milestones in accordance with agreed schedules and reporting structures.
• Any concerns, issues, or delays should be communicated immediately to SPPL to ensure timely resolutions and effective decision-making.
• Maintain transparency in all financial transactions and project-related documentation. All invoices, contracts, and agreements must
be provided in a timely and accurate manner.
7. Respect for Intellectual Property and Innovations
Clients and partners must respect and protect the intellectual property rights of SPPL,
including any proprietary technologies, methodologies, or systems developed for structural health monitoring and civil infrastructure services.
• Any intellectual property (IP) developed during a collaboration with SPPL remains the property of SPPL unless otherwise agreed upon in writing.
• Do not share, replicate, or use SPPL’s proprietary technologies or methodologies without written consent.
• Ensure that any joint innovations, products, or services are properly documented and that the ownership rights are clearly defined in contracts.
8. Non-Compete and Exclusivity Clauses
In certain cases, SPPL may require clients and partners to agree to non-compete or exclusivity clauses to protect business interests.
• Partners must not engage in direct competition with SPPL or represent competitors in the Structural Health Monitoring (SHM) industry during the duration
of the contract unless explicitly permitted.
• Exclusivity clauses may apply for certain projects or regions, depending on the nature of the collaboration.
10. Dispute Resolution and Legal Compliance
SPPL aims to resolve disputes amicably but expects all clients and partners to respect formal processes if necessary.
• All materials supplied or used in collaboration with SPPL should come from responsible sources that comply with environmental and labour standards.
• Avoid sourcing materials or services from entities that exploit labour, violate human rights, or engage in environmentally destructive practices.
7. Respect for Intellectual Property and Innovations
Clients and partners must respect and protect the intellectual property rights of SPPL,
including any proprietary technologies, methodologies, or systems developed for structural health monitoring and civil infrastructure services.
• Any disagreements or disputes should first be discussed and resolved through dialogue and mutual understanding.
• If disputes cannot be resolved through dialogue, parties must follow the agreed-upon dispute resolution mechanism as outlined in the contract,
which may include arbitration or legal proceedings.
• Ensure that all contractual obligations, including payment terms and service delivery standards, are adhered to as specified in the agreement.
11. Termination of Agreement
SPPL reserves the right to terminate any partnership or client agreement if there is a breach of the outlined rules or if
the partner's actions are detrimental to SPPL’s business reputation.
• • Breaches of confidentiality, ethical violations, or failure to meet quality standards may result in immediate termination of contracts.
• • Partners must cooperate with SPPL during the termination process, ensuring that all obligations and pending issues are resolved amicably.
